1. Acceptance of Terms

By accessing and using AuditekSmart ("the Platform"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the Platform. These terms constitute a legally binding agreement between you and AuditekSmart Ltd.

2. Definitions

  • "Platform" refers to the AuditekSmart website, applications, and all related services.
  • "User" refers to any individual or entity that accesses or uses the Platform.
  • "Audit Programs" refers to the digital audit templates, checklists, and documentation available for purchase on the Platform.
  • "Services" refers to the professional IT audit, consulting, and advisory services offered by AuditekSmart.

3. Account Registration

To purchase audit programs or access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and update your information to keep it accurate.
  • Keep your login credentials confidential and not share them with others.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. Purchases and Payments

  • All prices displayed on the Platform are in Rwandan Francs (RWF) unless otherwise stated.
  • Payments are processed via mobile money (MTN MoMo and Airtel Money) through our authorized payment gateway.
  • A purchase is confirmed only after we receive successful payment confirmation from the payment provider.
  • You will receive an email confirmation upon successful purchase.
  • Each purchased audit program includes a limited number of downloads (3 downloads per purchase). Once the download limit is reached, additional purchases may be required.

5. Use of Audit Programs

Upon purchasing an audit program, you are granted a non-exclusive, non-transferable license to use the program subject to the following conditions:

  • Audit programs are licensed for use within your organization only.
  • You may not redistribute, resell, sublicense, or share purchased programs with third parties.
  • You may not remove or alter any watermarks, proprietary notices, or attribution contained in the files.
  • Modification of purchased programs for your internal use is permitted, but the original work remains the intellectual property of AuditekSmart.

6. Intellectual Property

All content on the Platform, including but not limited to audit programs, templates, articles, graphics, logos, and software, is the intellectual property of AuditekSmart Ltd and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any Platform content without our prior written consent, except as expressly permitted by these Terms.

7. Professional Services

Professional audit and consulting services are provided under separate engagement agreements. The scope, deliverables, timeline, and fees for such services will be defined in a statement of work or proposal agreed upon by both parties.

8. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Platform or its systems.
  • Interfere with or disrupt the Platform's infrastructure or other users' access.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Scrape, crawl, or use automated tools to extract data from the Platform.

9. Disclaimer of Warranties

The Platform and its content are provided "as is" and "as available" without warranties of any kind, either express or implied. AuditekSmart does not warrant that:

  • The Platform will be uninterrupted, secure, or error-free.
  • Audit programs will meet all specific regulatory requirements of your jurisdiction without modification.
  • The use of our audit programs guarantees compliance with any particular standard or regulation.

Our audit programs are professional tools designed to assist qualified auditors. They do not replace professional judgment or the need for qualified audit personnel.

10. Limitation of Liability

To the maximum extent permitted by law, AuditekSmart shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any purchased audit programs. Our total liability shall not exceed the amount you paid for the specific product or service giving rise to the claim.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms. Upon termination, your right to access the Platform ceases immediately, though obligations related to intellectual property and purchased content survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Rwanda. Any disputes arising from these Terms shall be resolved through the courts of Kigali, Rwanda.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
