License Agreement

1. License Grant

Upon successful purchase of an audit program from AuditekSmart, you ("the Licensee") are granted a limited, non-exclusive, non-transferable, revocable license to use the purchased materials ("Licensed Materials") subject to the terms of this Agreement.

2. Scope of License

2.1 Permitted Uses

  • Use the Licensed Materials within your organization for internal audit and compliance purposes.
  • Customize and adapt the Licensed Materials to suit your organization's specific audit requirements, risk profile, and operational context.
  • Print or reproduce the Licensed Materials for internal distribution within your organization.
  • Use the Licensed Materials across multiple audit engagements within your organization.

2.2 Restrictions

You may NOT:

  • Redistribute, resell, sublicense, or make the Licensed Materials available to any third party, whether for free or for a fee.
  • Share your downloaded files with individuals or entities outside your organization.
  • Publish the Licensed Materials on any website, file-sharing platform, or public repository.
  • Remove, obscure, or alter any watermarks, copyright notices, or proprietary markings.
  • Claim authorship or ownership of the Licensed Materials or any derivative works.
  • Use the Licensed Materials to create competing products or services.
  • Transfer your license to another individual or organization.

3. Download Limits

Each purchase entitles you to a maximum of three (3) downloads of the Licensed Materials. This limit is enforced to protect against unauthorized distribution. Once your download limit is reached, additional downloads require a new purchase.

4. Watermarking

All downloaded files are watermarked with your organization's name and the AuditekSmart branding. This watermark serves as a security measure to trace unauthorized distribution. Tampering with or removing watermarks constitutes a breach of this Agreement.

5. Intellectual Property

All Licensed Materials remain the exclusive intellectual property of AuditekSmart Ltd. This license grants you the right to use the materials, not ownership. All copyrights, trademarks, and other intellectual property rights in the Licensed Materials are and shall remain with AuditekSmart.

6. Multi-User and Enterprise Licensing

The standard license covers use within a single organization. If you require licensing for multiple subsidiaries, franchises, or affiliated entities, please contact us to discuss enterprise licensing arrangements at auditeksmart@gmail.com.

7. Quality and Suitability

Our audit programs are developed by experienced IT auditors and are designed to align with internationally recognized standards and frameworks (ISO 27001, COBIT, NIST, etc.). However:

  • The Licensed Materials are professional tools intended to assist qualified auditors and do not constitute legal, regulatory, or professional advice.
  • You are responsible for ensuring the materials are appropriate for your specific regulatory environment and organizational context.
  • AuditekSmart does not guarantee that use of the Licensed Materials will result in compliance with any particular standard or regulation.

8. Breach and Termination

If you breach any term of this Agreement, your license is automatically revoked. Upon termination:

  • You must immediately cease all use of the Licensed Materials.
  • You must destroy all copies of the Licensed Materials in your possession.
  • AuditekSmart reserves the right to pursue legal remedies for damages caused by the breach.

9. Limitation of Liability

AuditekSmart's liability under this Agreement is limited to the purchase price paid for the Licensed Materials. In no event shall AuditekSmart be liable for any indirect, consequential, incidental, or special damages arising from the use or inability to use the Licensed Materials.

10. Governing Law

This License Agreement is governed by the laws of the Republic of Rwanda. Any disputes arising under this Agreement shall be resolved in the courts of Kigali, Rwanda.
